STEP 2

Accreditation

SSV deals are private securities offered under SEC Rule 506(b), so investors must be accredited. Pick the one that applies. Read the SEC's definition →

STEP 3

Confidentiality

Deal materials we share — decks, financials, terms, diligence notes — are confidential and often come to us under NDA from the company. Please read and acknowledge the following.

Confidentiality Acknowledgment

In consideration of being given access to investment opportunities through Start Something Ventures, LLC and its affiliated special-purpose vehicles (together, "SSV"), I agree that:

  1. Confidential Information. Any non-public information SSV shares with me about a prospective or current portfolio company — including pitch materials, financial information, deal terms, diligence findings, investor updates, and the identity of companies under evaluation — is confidential ("Confidential Information").
  2. Use. I will use Confidential Information only to evaluate whether to invest through SSV, and not for any other purpose, including competing with, soliciting, or trading on information about the company.
  3. Disclosure. I will not share Confidential Information with anyone other than my spouse, attorney, accountant, or financial advisor who needs it to help me evaluate the opportunity and who agrees to keep it confidential.
  4. Exclusions. This does not cover information that is or becomes public through no fault of mine, that I already knew before SSV shared it, that I receive independently from a source entitled to share it, or that I'm required to disclose by law (in which case I'll give SSV reasonable notice where permitted).
  5. Term. These obligations last for three years from the date I receive each piece of Confidential Information, or for as long as the information remains non-public, whichever is shorter. I'll return or delete Confidential Information if SSV asks.
  6. No commitment. Nothing here obligates SSV to show me any deal or obligates me to invest in one. Indiana law governs this acknowledgment.
